Feedova Terms of Sale
Last updated: 21 October 2026 · version 2026-10-21b
These terms of sale (the "Terms of Sale") govern the purchase of subscriptions and credits for Feedova, an online service that produces marketing content for brands that sell online (the "Service").
The Service is provided by Nabta LLC, a limited liability company organized under the laws of the State of Wyoming (United States), registered with the Wyoming Secretary of State under entity number 2026-002022285, with its registered office at 30 N Gould St Ste R, Sheridan, WY 82801, United States ("Feedova", "we", "us"). Write to us at: contact@feedova.ai (general), support@feedova.ai (help), billing@feedova.ai (billing, withdrawal, refunds). Our full contact details, including our telephone number, are set out in the legal notice.
Payments are sold and collected by Stripe, acting as merchant of record, through its company Sold through Link, LLC. On the checkout page, receipts, invoices and your bank statement, the purchase appears as "Sold through Link". Stripe applies its own terms to the payment, displayed on its checkout page. We remain responsible to you for the Service itself (how it works, access to it, Credits) and for everything provided for in these Terms of Sale.
In these Terms of Sale, "Stripe" means Sold through Link, LLC and the Stripe group companies that process payments (Stripe Payments Company, Stripe Technology Europe, Limited, Stripe Payments Canada, Ltd., Stripe Payments Singapore Pte. Ltd. and Stripe Payments Australia Pty Ltd.), and the "Checkout Page" means Stripe's secure payment page (Stripe Checkout), on which every payment is made.
The use of the Service is also governed by the Terms of Use (the "Terms of Use"), the Privacy Policy and the Data Processing Agreement (the "DPA"), which, together with the Terms of Sale, form the contract between you and us (the "Agreement").
1. Definitions
The terms defined in the Terms of Use (Organization, Customer, Business Customer, Consumer, Owner, User, Brand, Content, Outputs) have the same meaning here. In addition:
- Plan: the subscription level chosen ("Studio", "Factory" or "Enterprise", in French « Atelier », « Usine » or « Entreprise »), described in Annex 1 and on the pricing page.
- Add-ons: the additions to a Studio or Factory Subscription, "Extra Brand" and "Extra User" (« Marque en plus » and « Utilisateur en plus » on the French interface), described in Annex 1. They do not add Credits.
- Subscription: the right to use the Service under a Plan and any Add-ons, paid for a Billing Period.
- Billing Period: the period for which a Subscription is paid: one month, or one year for an annual Subscription (section 9.2), as you choose at the time of purchase.
- Credits: the unit used to launch actions that consume paid resources (generation of images, videos, voices and texts, research, analyses).
- Included Credits: the Credits granted with a Subscription each month, including for an annual Subscription.
- Top-up: a purchase of Credits in addition to the Subscription, paid in a single payment; One-click Top-up: the payment link for a Top-up that we send you when your balance falls below a threshold you choose (section 8.8).
- Order: the online purchase of a Subscription or a Top-up, or an accepted quote.
2. Scope and documents
2.1 The Terms of Sale apply to every Order, whatever the Customer's country, subject to the mandatory rules that protect Consumers in their country of residence.
2.2 A Business Customer's purchasing terms do not apply, even if they are referred to in a purchase order, unless we agree to them in a signed writing.
2.3 In the event of conflict, the following documents apply in this order: a quote or contract signed by both parties, for the terms it expressly negotiates; the DPA, for personal data; the Terms of Sale; the Terms of Use; the documentation of the Service. For a Consumer, any ambiguity is interpreted in the way most favorable to the Consumer.
3. Business Customers and Consumers
3.1 The Service is sold to Business Customers and Consumers worldwide, except in the countries and to the persons covered by section 20.
3.2 When placing an Order, you state whether you are acting as a Business Customer (giving your company name and, where applicable, your VAT number) or as a Consumer. If you state that you are acting as a Business Customer, you confirm that you are purchasing for the purposes of your business and that you have authority to bind the business. A false statement makes you liable for its consequences, in particular its tax consequences. The country and status (business or individual) entered on the Checkout Page are used to calculate taxes (section 6).
3.3 The rules marked "Consumers" apply only to Consumers. Nothing in the Agreement deprives a Consumer of the rights granted by the law of their country of residence where that law does not allow them to be waived.
4. The Service and the Plans
4.1 The essential characteristics of the Service and of each Plan (number of Brands, Users and Included Credits) and their prices are presented on the pricing page and restated before the Order. The price list in force on the date of these Terms of Sale is set out in Annex 1.
4.2 All features of the Service are available in all Plans, unless otherwise stated on the pricing page; the Plans differ in the number of Brands, Users and Included Credits. Add-ons make it possible to add Brands, up to the limit set for each Plan, and Users to a Studio or Factory Subscription (Annex 1). The number of Credits consumed by each action is displayed before the action is launched.
4.3 The sample brand provided when the account is created does not count toward the number of Brands in a Plan. Nothing is generated on it.
4.4 The Service works in a recent browser, with an internet connection. Compatibility with a specific browser or device is not guaranteed beyond what the documentation states.
5. Ordering and formation of the Agreement
5.1 To order, you choose in Feedova a Plan, any Add-ons and the Billing Period (no Billing Period is preselected), or a Top-up, you state your status (section 3.2) and you accept the Terms of Sale. You are then taken to Stripe's Checkout Page: there you enter your billing information and your payment method, and you check the summary (what you are buying, the Billing Period, the taxes and the total price including all taxes calculated according to your country and status, and, for a Subscription, the automatic renewal: its price, its frequency and how to stop it), and you then confirm with the Checkout Page button, which indicates the obligation to pay. You can correct your information, or go back, before confirming.
5.2 Consumers. In Feedova, before you are taken to the Checkout Page, you may request that the Service start immediately, during the withdrawal period, by ticking a separate box, which is never pre-ticked and which reads: "I ask Feedova to start right away (access to the service and use of my credits), before the end of my 14-day withdrawal period. I understand that if I withdraw, I will pay for the service already provided (section 11.4 of the Terms of Sale), and that I lose my right of withdrawal for each generation already delivered and for a top-up whose credits have all been used." Without this request, the paid Service (generation) starts at the end of the withdrawal period.
5.3 The Agreement is concluded upon confirmation of payment by Stripe. Stripe then sends you, from Link, the receipt and the invoice in PDF (section 7.2). In addition, we send you our own confirmation by email, containing: the Order summary, the terms of the automatic renewal and how to cancel online, these Terms of Sale in PDF, the information on the right of withdrawal and the withdrawal form (Consumers), and, where applicable, the confirmation of your request for an immediate start, with its date and time.
5.4 We keep a record of each Order and of the version of the Terms of Sale accepted. Consumers: for an Order of 120 euros or more, we keep the written record of the Order for 10 years and give you access to it at any time on request to billing@feedova.ai.
6. Prices and taxes
6.1 Prices are set exclusive of taxes, in euros or in US dollars depending on your billing country, and displayed exclusive of taxes in Feedova. Stripe may convert the price into the currency of your country ("Adaptive Pricing"): the converted amount is then displayed on the Checkout Page before confirmation. Taxes (VAT, sales tax, GST) are added according to your country and status; Stripe calculates them and displays them on the Checkout Page, together with the total price including all taxes, before confirmation.
6.2 Consumers. The total price including all taxes, for each Billing Period, is displayed on the Checkout Page before confirmation. For a Consumer in the European Union or the United Kingdom, it includes the VAT of the Consumer's country of residence. For example, for a Consumer in France (20% VAT): Studio €178.80, Factory €478.80, "Extra Brand" Add-on €58.80 and "Extra User" Add-on €10.80 per month; Top-ups of 2,500, 10,000 and 50,000 Credits: €42, €162 and €780.
6.3 Business Customers. A Business Customer's taxes (for example the reverse charge of VAT where a business established in a country that applies it provides a valid VAT number, or the sales tax due in its State in the United States) are determined by Stripe according to the country, status and tax number entered on the Checkout Page, and are shown on the invoice.
6.4 Taxes collected by Stripe. In the countries where Stripe handles taxes as merchant of record (more than 80 countries, including those of the European Union, the United Kingdom, Switzerland, Canada and the United States), Stripe calculates, collects, files and remits the tax, and issues the invoice. In other countries, Nabta LLC remains liable for any taxes due, which Stripe calculates on its behalf, and the invoice is issued in the name of Nabta LLC.
6.5 If the law requires a Business Customer to withhold a tax on a payment intended for us, the Business Customer increases the amount paid so that we receive the full amount provided for, unless a tax treaty allows a reduced rate and the Business Customer provides us with the necessary documents in time.
7. Payment and invoicing
7.1 Every payment is made on the Checkout Page, where Stripe collects it as merchant of record. Your card and payment method details are kept by Stripe, never by us. By taking out a Subscription, you authorize Stripe to charge the chosen payment method at the start of each Billing Period, until cancellation, as well as the price difference invoiced pro rata when you upgrade to a higher Plan or add an Add-on (section 9.3). A Top-up is a single payment that you confirm yourself on the Checkout Page: no Top-up is ever charged without your action (section 8.8).
7.2 Receipts and invoices are issued by Stripe and sent to you by email, in PDF, from Link. The Owner can also find them in Stripe's billing portal, opened from Settings › Subscription, and on link.com. On your bank statement, the payment appears with a descriptor that begins with "LINK.COM*".
7.3 Payment failure. If a Subscription payment fails, Stripe retries the payment and we notify you by email. If the amount remains unpaid 7 days after this notice, we suspend generation; you can still view and export your Content, and generation resumes as soon as payment is made. If all of Stripe's retries fail, Stripe cancels the Subscription, about 30 days after the first failure.
7.4 Business Customers. Amounts not paid when due bear interest at the applicable statutory rate. For a Business Customer established in France, late-payment penalties are due at the rate provided for by Article L. 441-10 of the French Commercial Code, together with a fixed indemnity of 40 euros for recovery costs. The Business Customer must report any disagreement about an invoice within 30 days of the invoice date, before raising any dispute with its bank; undisputed amounts remain due.
8. Credits
8.1 Nature. Credits are a unit for measuring consumption of the Service. They are not money, electronic money or a means of payment. They are neither convertible into money nor transferable outside your Organization, except for the refunds provided for by the Terms of Sale or by law.
8.2 Top-up prices. Top-ups are sold in packs, at the prices exclusive of taxes set out in Annex 1 and displayed in the Service at the time of purchase; the price including all taxes, in your currency, is displayed on the Checkout Page before confirmation.
8.3 Price of actions in Credits. The number of Credits consumed by each action (an image, a video of a given length, a voice, a research task) is displayed before the action is launched and depends on the settings chosen. The Credit price list is guaranteed for the paid Billing Period: it does not change during a Billing Period. Any increase is announced by email and in the Service at least 30 days before it applies; a decrease may apply immediately.
8.4 Consumption. Credits are debited when an action is launched. The Credits that expire soonest are used first.
8.5 Failures and moderation refusals. The Credits for a failed generation (technical error, provider unavailable, Output not delivered) and for a generation refused by moderation are credited back automatically, without any request on your part. They are not credited back when an Output is delivered but you do not like it. In the event of repeated attempts to generate prohibited content, we may suspend generation (Terms of Use, section 11).
8.6 Included Credits. Included Credits are granted for a Billing Period. Those not used by the end of that Billing Period are carried over to the following Billing Period only, up to the number of Included Credits for one Billing Period of your Plan, and expire at the end of that following Billing Period; above that limit, they expire at the end of their own Billing Period. Included Credits end with the Subscription. For an annual Subscription, Included Credits are granted each month, and this section applies month by month.
8.7 Top-ups. Top-up Credits are valid for 12 months from the date of purchase. They are kept if you change Plan. Without an active Subscription, they cannot be used, but they remain on your account until they expire and become usable again if you resume a Subscription. The expiry date of each batch is displayed on the Credits page.
8.8 One-click Top-up. One-click Top-up is optional and is never activated by default. If you activate it, you choose a Credit threshold and a Top-up pack. When your balance falls below that threshold, we send you a notification in the Service and an email with a link to a Checkout Page prefilled with the chosen pack. Nothing is charged without your action: the Top-up is purchased only if you confirm the payment on that page, like any Top-up. The number of links sent per month is limited to the number you choose. You can change or stop this setting at any time in the Service. We never automatically charge a saved payment method for a Top-up.
8.9 Caps. The Owner can set Credit spending caps per Brand and per User, and receives alerts. The Customer remains responsible for its Users' consumption. To protect you, we may block consumption and contact you if, in any one month, consumption exceeds three times the Included Credits of your Plan (for example in the case of a compromised account).
8.10 Refunds. Purchased Credits are non-refundable, including on their expiry or at the end of the Subscription, except in the following cases: (a) exercise of the right of withdrawal (section 11); (b) discontinuation of the Service or of a Plan by us (section 10.5); (c) termination for a serious breach on our part; (d) billing error; (e) refund required by law, in particular under the legal guarantee of conformity (section 12); (f) cancellation with immediate effect by a Consumer (section 10.2); (g) 7-day refund (section 8.11); (h) refund granted by Stripe (section 8.12). Refunds are made to the original payment method.
8.11 7-day refund. On written request to billing@feedova.ai within 7 days after the first payment of a Subscription, we refund that payment.
8.12 Refunds and disputes handled by Stripe. As merchant of record, Stripe handles support requests about payments through Link support. Stripe may, in certain cases, grant a refund within 60 days after a payment, in particular where the paid Service was not provided, is significantly not as described or defective, or where the payment was not authorized or was duplicated; under Stripe's rules, a mere change of mind or an unused Subscription does not give rise to a refund, without prejudice to your right of withdrawal (section 11). Stripe also handles challenges to a payment made through your bank (disputes): it may submit evidence on our behalf, or accept the dispute.
8.13 Effects of a refund or dispute. When a payment is refunded, by us or by Stripe, or disputed through your bank: (a) the Credits granted with that payment are removed from your account, up to your balance, never making it negative; (b) the promo code discount applied to that payment is cancelled; (c) if that payment was the first payment of a referred Organization, the referral is cancelled and the free Credits granted for it are taken back (section 27.3).
9. Term, renewal and change of Plan
9.1 Monthly Subscription. It is entered into for an indefinite term, with no minimum commitment. It is paid in advance each month and continues until you cancel it. You may cancel it at any time (section 10).
9.2 Annual Subscription. It is reserved for Business Customers, paid in advance for one year, at a monthly price about 20% lower than the monthly price (Annex 1), and renewed for one year unless cancelled before its expiry date. Included Credits are granted each month. We send a reminder by email at least 30 days before each renewal. The annual Subscription is never preselected.
9.3 Upgrade to a higher Plan or added Add-on. A change that increases the total price of the Subscription takes effect immediately: the price difference for the rest of the Billing Period is invoiced pro rata and paid right away, and, for a higher Plan, the difference in Included Credits is added pro rata.
9.4 Downgrade to a lower Plan or removed Add-on. A change that lowers the total price of the Subscription takes effect at the start of the following Billing Period. It is accepted only if the number of Brands and Users in your Organization does not exceed the limits that will apply; otherwise, you must first reduce them to those limits.
9.5 Consumers residing in the United States. Automatic renewal of the Subscription applies only with your express consent, given after a clear presentation of its terms. We send you a confirmation that you can keep, setting out these terms and how to stop the renewal online, at any time, as easily as you accepted it. Any price increase is announced to you at least 30 days in advance, and you may cancel before it applies.
9.6 Switching from annual to monthly. This change is not possible during the year: you cancel the annual Subscription, which ends on its expiry date, and then take out a monthly Subscription.
9.7 Where to manage the Subscription. The Owner manages the Subscription in Feedova (Settings › Subscription: change Plan or Add-ons, cancel, resume the Subscription), in Stripe's billing portal opened from that page (payment method, invoices, cancellation at the end of the Billing Period) and on link.com.
10. Cancellation and end of the Agreement
10.1 Cancellation by the Customer. The Owner may cancel the Subscription at any time, online, using the "Cancel your contract" function (« Résilier votre contrat » on the French interface) accessible from Settings › Subscription, without having to give reasons; an optional question about the reason for leaving may be asked, and the cancellation does not depend on the answer. The Owner may also cancel, for the end of the current Billing Period, in Stripe's billing portal or on link.com. We confirm by email receipt of the cancellation, the date on which it takes effect and its effects (in particular on Credits).
10.2 Effect of cancellation. For a Business Customer, cancellation takes effect at the end of the current Billing Period, which has already been paid, without refund. Consumers: when cancelling, you choose between the end of the current Billing Period and immediate effect. With immediate effect, we refund part of the Subscription price for the current Billing Period: we retain an amount proportional to the greater of the following two shares, the share of the Billing Period elapsed or the share of Included Credits used, and refund the rest, through Stripe, to the original payment method.
10.3 Termination for breach. Either party may terminate the Agreement if the other party commits a serious breach and fails to remedy it within 15 days of a written notice describing the breach.
10.4 Suspension or termination by us. We may suspend the Service or terminate the Agreement, by written notice stating our reasons, if: (a) an amount remains unpaid at the end of the payment retries referred to in section 7.3; (b) the Customer or its Users seriously or repeatedly breach the Terms of Use, in particular the rules on prohibited content; (c) the Customer falls under section 20; (d) the use of the Service exposes Feedova, its providers or third parties to a serious legal or security risk; (e) the law or an authority requires us to do so. Where possible, we first suspend only the feature or Brand concerned, and give you the opportunity to explain yourself. Apart from these cases, we do not terminate a Subscription at our sole discretion, except through the discontinuation provided for in section 10.5.
10.5 Discontinuation of the Service. We may stop offering the Service, or a Plan, with at least 90 days' notice. In that case, we refund the portion of the price paid for the period following the discontinuation and any unused Top-up Credits.
10.6 Effects of the end of the Agreement. At the end of the Agreement: (a) access to the paid features ends; you can export your Content and Outputs for 30 days (section 14); (b) unused Included Credits are lost; Top-up Credits are governed by section 8.7; (c) we delete your Content within 90 days after the end of the export period, subject to backups, which are erased according to their normal cycle, and to the data that the law requires us to keep; (d) the clauses that by their nature must survive (in particular sections 7, 8.10 to 8.13, 15, 16, 17, 18, 24 and 25) survive.
11. Right of withdrawal (Consumers)
11.1 Who is entitled. A Consumer residing in the European Union, in the European Economic Area or in the United Kingdom, and any Consumer to whom the law of their country grants an equivalent right, has a period of 14 days to withdraw from an Order, without giving any reason and without incurring any costs other than those provided for in section 11.4. Business Customers have no right of withdrawal.
11.2 Period. The period runs from the conclusion of the Agreement (section 5.3) for a Subscription, and from the purchase for each Top-up, which is a separate contract.
11.3 How to withdraw. Before the period expires, you inform us of your decision by an unequivocal statement: using the "Withdraw from the contract here" function (« Renoncer au contrat ici » on the French interface) in your account (Settings › Subscription), available for 14 days after the first payment, which asks for your name, the Order concerned and the email address at which you wish to receive the acknowledgment of receipt, and which you then validate with "Confirm withdrawal" (« Confirmer la rétractation »); or by email to billing@feedova.ai; or using the form in Annex 2, which you are not required to use. We send you, without delay, an acknowledgment of receipt on a durable medium (by email), setting out the content of your statement and its date and time. Stripe, as merchant of record for payments, also applies the withdrawal periods required by law and may handle a withdrawal that you send to it through Link support.
11.4 If the Service has started at your request. If you requested that the Service start during the withdrawal period (section 5.2), you pay us for the service provided up to your withdrawal, in proportion to the total price. Each generation is a service fully provided at the moment its Output is delivered. The amount we retain therefore corresponds to the Credits consumed, valued at the Plan price divided by its number of Included Credits. If you did not make this request, or if we did not inform you of this amount before the Order, you pay nothing.
11.5 Exceptions. You can no longer withdraw for a generation already delivered, or for a Top-up all of whose Credits were used during the withdrawal period, where delivery began with your prior express consent and your acknowledgment that you would thereby lose your right of withdrawal (section 5.2). For a partly used Top-up, we refund the unused Credits.
11.6 Refund. Withdrawal stops the Subscription immediately. We refund all amounts received, less the amount provided for in section 11.4, no later than 14 days after being informed of your decision, through Stripe, using the same means of payment as the one used for the Order, unless you expressly agree to another means, at no cost to you. The corresponding Credits are removed from your account (section 8.13).
12. Legal guarantee of conformity (Consumers)
12.1 We are liable for any lack of conformity of the Service that appears during the entire term of your Subscription. During that term, you only need to establish the existence of the lack of conformity, not the date on which it appeared. We provide the updates necessary to keep the Service in conformity.
12.2 You are entitled to have the Service brought into conformity without undue delay, free of charge and without major inconvenience to you; failing that, or if the lack of conformity is serious, you are entitled to a price reduction or to termination of the Agreement with a refund, under the conditions set out in the box in Annex 3, which reproduces the text required by French law. To exercise these rights, write to support@feedova.ai.
12.3 If you reside outside France, you benefit from the equivalent legal guarantees of your country (in the European Union, those of Directive (EU) 2019/770; in the United Kingdom, those of the Consumer Rights Act 2015).
13. Availability, support and changes
13.1 We make reasonable efforts to keep the Service available at all times, except during maintenance, which is announced in advance where possible, and except in the event of circumstances beyond our reasonable control. Unless otherwise provided in a signed contract, no specific availability level is guaranteed to Business Customers; the rights of Consumers under section 12 are not affected.
13.2 Support is provided by email at support@feedova.ai and from within the Service ("Something wrong, an idea?"), on business days. We reply in French or in English.
13.3 The Service relies on third-party providers, in particular providers of artificial intelligence models. We may replace a provider or a model with an equivalent one.
13.4 We continuously improve the Service and may add, change or remove features. If, during a Billing Period, we remove an essential feature of your Plan, we notify you in advance and, if you cancel for this reason within 30 days, we refund the unused portion of the price paid in advance. Consumers: any change that goes beyond what is necessary to maintain conformity is made at no cost to you, for a valid reason, and you are clearly informed of it in advance; if it has a more than minor negative impact on your access to or use of the Service, you may terminate the Agreement free of charge within 30 days after the change or after being informed of it, whichever is later, and we refund the portion of the price corresponding to the remaining period.
14. Export and switching providers
14.1 During the Subscription and for 30 days after it ends, you can export your Content and your Outputs from the Service in common formats (original files for images and videos; texts and structured data in a machine-readable format). Where an export feature is not yet available in the Service, we send you these items on request to support@feedova.ai, free of charge.
14.2 If you wish to switch to another provider, we give you reasonable assistance, free of charge. You may cancel for this purpose with a notice period of no more than two months.
15. Warranties and exclusions
15.1 We provide the Service with reasonable skill and care, and it performs substantially as described in its documentation. If it does not, we correct the defect within a reasonable time; if we are unable to do so, you may cancel the Subscription concerned and be refunded the price paid in advance for the remaining period.
15.2 The Customer warrants that it holds the rights, consents and authorizations necessary in its Content and for the use it makes of the Outputs, as provided in the Terms of Use.
15.3 Business Customers. EXCEPT AS EXPRESSLY PROVIDED IN THE AGREEMENT, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND THE OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE". WE EXCLUDE ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE OUTPUTS WILL BE ACCURATE, UNIQUE, PROTECTED BY AN INTELLECTUAL PROPERTY RIGHT, FREE OF THIRD-PARTY RIGHTS OR COMPLIANT WITH THE ADVERTISING RULES THAT APPLY TO YOU, OR THAT THEY WILL PRODUCE A COMMERCIAL RESULT (SALES, ROAS, CPA, ACCEPTANCE BY A PLATFORM).
15.4 Consumers. Section 15.3 does not apply to Consumers. The Service is provided to you with the legal guarantees set out in section 12. We do not, however, guarantee a commercial result or the acceptance of an ad by a platform, which depend on factors outside the Service.
16. Liability
16.1 Business Customers. TO THE FULLEST EXTENT PERMITTED BY LAW: (a) NEITHER PARTY IS LIABLE FOR INDIRECT DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, REPUTATION, ADVERTISING SPEND OR DATA (BEYOND THE COST OF RESTORING THE DATA FROM THE LAST BACKUP); (b) EACH PARTY'S TOTAL LIABILITY UNDER THE AGREEMENT IS LIMITED TO THE AMOUNTS PAID AND PAYABLE BY THE CUSTOMER UNDER THE AGREEMENT DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.
16.2 The limits in section 16.1 do not apply: in the event of fraud, gross negligence or willful misconduct; to bodily injury; to the Customer's payment obligations; to the indemnity in section 17.1; or to any liability that the applicable law does not allow to be limited.
16.3 Consumers. We are liable to you for damage caused by a breach of our obligations, under the conditions laid down by the law of your country of residence. We are not liable for damage resulting from your own conduct, from the unforeseeable and insurmountable act of a third party, or from force majeure. Nothing in the Agreement removes or reduces your right to compensation.
17. Third-party claims
17.1 Business Customers. The Customer will defend and indemnify us, our members, employees and providers against any claim by a third party or an authority, and against the resulting damages, fines, costs and reasonable attorneys' fees, where the claim arises from the Customer's Content, from the use or distribution of the Outputs by the Customer or on its behalf, from a breach of the Terms of Use or from a violation of the law by the Customer. The indemnified party promptly informs the other party, allows it to control the defense (without any settlement that admits fault on the part of the indemnified party without its consent) and cooperates reasonably.
17.2 Consumers. You are responsible for the consequences of your Content and of the use you make of the Outputs, under the conditions laid down by the applicable law; section 17.1 cannot be enforced against you.
18. Confidentiality
Each party keeps confidential the non-public information of the other party received under the Agreement (in particular the Content, negotiated prices and our technical information), uses it only to perform the Agreement and discloses it only to persons who need it and who are bound by an equivalent obligation, during the Agreement and for 5 years thereafter. This obligation does not cover information that is public, already known, independently developed or lawfully received from a third party, or disclosure required by law. The use provided for in section 4.3 of the Terms of Use is permitted.
19. Personal data
The personal data contained in your Content is processed in accordance with the DPA, which you can download from its page: you are the controller and we are your processor, except for the improvement of our models and services, for which we act as controller (Terms of Use, section 4.3). Our own processing (accounts, billing, security, improvement) is described in the Privacy Policy. Stripe processes payment data on its own behalf, as merchant of record, under its privacy policy.
20. Sanctions and export control
20.1 Each party complies with the economic sanctions and export control laws that apply to it, in particular those of the United States, the European Union, the United Kingdom and the United Nations.
20.2 The Customer represents that it is not located, organized or ordinarily resident in a country or region subject to comprehensive sanctions by these authorities, that it is not on any list of sanctioned persons (and is not owned or controlled by such a person), and that it does not allow such persons to access the Service, or the Service to be accessed from such places.
20.3 We may refuse an Order, block access from the countries and regions concerned and terminate the Agreement immediately in the event of a breach of this section; amounts paid for the remaining period are refunded where the law permits.
20.4 Countries where the Service is not offered. Regardless of sanctions, the Service is not offered in countries where one of our essential providers (our main artificial intelligence model providers, and Stripe for payment) is not available, for example China, Hong Kong, Macao, Russia, Belarus, Iran, North Korea, Syria, Cuba, Venezuela, Myanmar (Burma), Afghanistan, Kosovo and Yemen. Sign-up and payment are refused from these countries. The list follows those of our providers and may change.
21. Force majeure
Neither party is liable for any delay or failure to perform caused by an event beyond its reasonable control that it could neither foresee nor avoid (natural disaster, epidemic, war, decision of a public authority, general internet or power outage, large-scale cyberattack, failure of a hosting provider or of an artificial intelligence provider that it could not reasonably replace). A Business Customer's payment obligations are not suspended. If the event lasts more than 30 days, either party may terminate the Subscription concerned, and we refund the price paid in advance for the remaining period.
22. Subcontracting and assignment
22.1 We may use subcontractors to provide the Service, on the terms of the DPA for personal data. We remain responsible to you for their performance.
22.2 A Business Customer may not assign the Agreement without our prior written consent, which we will not withhold without reasonable grounds. We may assign the Agreement to an affiliated company or to a successor in the event of a merger, acquisition or sale of the business, after informing you, without diminishing your rights; a Consumer who objects to the assignment may cancel free of charge.
23. Changes to the Terms of Sale
23.1 We may change the Terms of Sale, for example to reflect changes in the Service or in the law. We inform you of any material change by email and in the Service at least 30 days before it takes effect. An increase in the Subscription price is announced in the same way, at least 30 days before it applies, and never applies to a Billing Period already paid.
23.2 If you refuse a change, you may cancel free of charge before it takes effect; in that case, we refund the portion of the price paid for the period after cancellation and, if the change affects Credits, any unused Top-up Credits. Orders already placed remain governed by the version of the Terms of Sale accepted when they were placed, except for Billing Periods that begin after the entry into force of a change that you have not refused.
24. Complaints and mediation
24.1 For any complaint, write to support@feedova.ai (or to billing@feedova.ai for a billing or payment question). We respond within 15 business days. For a payment, write to us first at billing@feedova.ai: we can correct or refund it directly. Stripe, as merchant of record, also handles payment requests through Link support (support.link.com) and handles challenges to a payment made through your bank (section 8.12).
24.2 Consumers. Nabta LLC is established outside the European Union and has not yet appointed a consumer mediator. As soon as an agreement is signed with a mediator, the mediator's name, address and website will be indicated here and in the legal notice; you will then be able to refer your dispute to the mediator free of charge, after a written complaint that has not been resolved to your satisfaction. Recourse to mediation is never a precondition for bringing a case before a court. The European online dispute resolution platform closed on 20 July 2025: we therefore do not refer you to it.
24.3 Before taking any legal action, the parties seek an amicable solution in good faith for 30 days from a written complaint, except for urgent measures; this step is not mandatory for a Consumer.
25. Governing law, jurisdiction and language
25.1 Consumers. The Agreement is governed by the law of your country of habitual residence. You may bring proceedings before the courts of your place of domicile, or before any other court having jurisdiction under the law; we may bring proceedings against you only before the courts of your place of domicile.
25.2 Business Customers established in the European Union, the European Economic Area, Switzerland or the United Kingdom. The Agreement is governed by French law. Any dispute arising out of or in connection with the Agreement is subject to the exclusive jurisdiction of the courts of Paris (France), including in the event of multiple defendants, except for urgent measures, which may be sought from any competent court.
25.3 Other Business Customers, including in the United States. The Agreement is governed by the law of the State of Wyoming (United States), excluding its conflict-of-laws rules. Any dispute is subject to the exclusive jurisdiction of the state courts of Wyoming sitting in Sheridan County or of the United States District Court for the District of Wyoming, except for urgent measures. TO THE FULLEST EXTENT PERMITTED BY LAW, EACH PARTY WAIVES ITS RIGHT TO A TRIAL BY JURY.
25.4 The United Nations Convention on Contracts for the International Sale of Goods does not apply.
25.5 Language. The Terms of Sale are drafted in French and in English. For Customers established or resident in France, the French version prevails; for all other Customers, the English version prevails.
26. General provisions
26.1 Entire agreement. The Agreement constitutes the entire agreement between the parties on its subject matter.
26.2 Severability. If any clause is held to be void or unenforceable, it is limited to the minimum extent necessary and the other clauses remain in force.
26.3 No waiver. Failing to exercise a right, or delaying its exercise, does not constitute a waiver of that right.
26.4 Independent parties. The parties are independent; the Agreement creates no partnership, agency or employment relationship.
26.5 Evidence. Online acceptance has the same value as a signature. Our electronic records (logs, confirmations, invoices) are admissible as evidence; a Consumer may always provide evidence to the contrary by any means.
26.6 Notices. We write to you at the email address of the Owner of the Organization. You write to us at contact@feedova.ai, or at billing@feedova.ai for billing and withdrawal.
27. Promo codes, referrals and affiliate program
27.1 Promo codes. We may offer promo codes. Each code has its own terms, displayed or provided with it: a percentage or fixed-amount discount, what it applies to (Subscription, Top-ups or both), how long the discount lasts (one Period, a number of months, or the whole Subscription), its validity period, the eligible Plans, the number of uses in total and per Organization, and whether it is reserved for new customers. The discounted price is displayed before you confirm the order. Unless stated otherwise, only one code applies to an order and codes cannot be combined. A code has no cash value: it cannot be exchanged, refunded or transferred outside the Organization that uses it. A code saved before the first payment applies to that payment if it is still valid at that time.
27.2 Referrals. Each User can get a referral link and code in the Service. When an Organization that is not yet a customer creates its workspace with that link, or enters that code in the Service within the period displayed (30 days after signing up as of 21 October 2026) and before its first payment, and then pays its first month of Subscription, the referring Organization and the referred Organization each receive free Credits, in the number displayed in the Service when the referred Organization signed up. Free Credits follow the rules for Top-ups (section 8.7), except that they are never refundable or convertible. An Organization can be referred only once. The number of rewarded referrals per month for the same referring Organization may be capped; the cap is displayed in the Service.
27.3 Excluded referrals and reversal. No Credits are granted for: self-referrals (same person, same Organization, shared Users, same address or same business domain name, same payment method), accounts created to obtain the Credits, or any referral obtained through misleading or unlawful practices (including sending unsolicited commercial messages, or buying ads on the Feedova name). If the referred Organization’s first payment is refunded, cancelled or disputed, the free Credits granted for that referral are taken back, up to the Credits remaining on each account. In case of fraud, we may also take back Credits already used and suspend access to the programs.
27.4 Affiliate program. Creators, agencies and influencers can apply to Feedova’s affiliate program from the Service. We accept or decline applications at our discretion. An accepted affiliate signs separate affiliate terms, which set the commission (a percentage of the amounts paid by the Organizations they bring, for a limited period), tracking and payment terms, tax obligations and disclosure obligations: affiliates clearly disclose the commercial nature of their recommendations, as required by the law that applies to them. Tracking the Organizations an affiliate brings may rely on a third-party tool and on a tracker that is only set with your consent (see the cookie policy). These Terms of Sale do not create any right to a commission.
27.5 Changes and termination. We may change, suspend or end a promo code, the referral program or the affiliate program at any time, for the future. Discounts already granted and free Credits already earned are kept, except in the cases set out in section 27.3. These offers do not affect your statutory rights, including your right of withdrawal (section 11): if you withdraw, the refund covers the amount actually paid, and the free Credits linked to that payment are taken back.
27.6 Launch offer. New customers may receive a 30% discount on the Subscription price for its first 3 months, through a promo code reserved for new customers, on the terms displayed with the code (section 27.1).

Annex 3: Legal guarantee of conformity for digital content and digital services
For consumers in France, the French text of the box below, as set out in the French version of these Terms of Sale, applies; its faithful English rendering follows.
The consumer is entitled to the implementation of the legal guarantee of conformity where a lack of conformity appears within a period corresponding to the term of their subscription (monthly, or annual where offered) from the supply of the digital content or digital service. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it appeared.
The legal guarantee of conformity entails the obligation to supply all updates necessary to keep the digital content or digital service in conformity throughout the term of the subscription.
The legal guarantee of conformity entitles the consumer to have the digital content or digital service brought into conformity without undue delay following their request, free of charge and without major inconvenience to them.
The consumer may obtain a price reduction while keeping the digital content or digital service, or may terminate the contract and obtain a full refund in exchange for giving up the digital content or digital service, if:
1° The trader refuses to bring the digital content or digital service into conformity;
2° Bringing the digital content or digital service into conformity is unjustifiably delayed;
3° The digital content or digital service cannot be brought into conformity without costs being imposed on the consumer;
4° Bringing the digital content or digital service into conformity causes major inconvenience to the consumer;
5° The lack of conformity of the digital content or digital service persists despite the trader's unsuccessful attempt to bring it into conformity.
The consumer is also entitled to a price reduction or to termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination of the contract. The consumer is then not required to request first that the digital content or digital service be brought into conformity.
Where the lack of conformity is minor, the consumer is entitled to cancellation of the contract only if the contract does not provide for payment of a price.
Any period of unavailability of the digital content or digital service for the purpose of bringing it back into conformity suspends the guarantee for the time that remained to run, until the digital content or digital service is supplied again in conformity.
These rights result from the application of Articles L. 224-25-1 to L. 224-25-31 of the French Consumer Code.
A trader who obstructs in bad faith the implementation of the legal guarantee of conformity is liable to a civil fine of up to 300,000 euros, which may be increased to 10% of average annual turnover (Article L. 242-18-1 of the French Consumer Code).
The consumer also benefits from the legal guarantee against hidden defects under Articles 1641 to 1649 of the French Civil Code, for a period of two years from the discovery of the defect. This guarantee entitles the consumer to a price reduction if the digital content or digital service is kept, or to a full refund in exchange for giving up the digital content or digital service.
